Terms of Service
Last updated: 30 October 2026
These terms are between you and [legal entity name], [address] ("Thoughtwake", "we", "us"). By signing in or using Thoughtwake you agree to them. If you do not agree, please do not use the service.
1. The service
Thoughtwake listens to a live talk and produces live captions, transcripts and AI companions (such as key points, questions and resources) for the speaker and the audience.
2. Eligibility and accounts
Thoughtwake is invite-only for now. Presenters sign in with Google and must have been invited. You must be old enough to enter a binding contract where you live, and you are responsible for activity on your account. Audience members can join a session with a code and do not need an account.
3. Recording consent
If you are a presenter, you are responsible for telling the people in the room and for getting any consent the law requires before you record or transcribe them. Laws about recording differ by place, and some require everyone's consent. Thoughtwake shows listeners when recording is on, but that does not replace your own duty to ask.
4. Acceptable use
Do not use Thoughtwake to break the law, to record or transcribe people who have not been told, to harass or harm anyone, to upload content you have no right to use, to probe or attack the service, or to resell access without our written permission.
5. AI output may be inaccurate
Transcripts and AI companions are generated automatically. They can be wrong, incomplete or out of date, and links or resources may not exist or may not be suitable. They are not legal, medical, financial or other professional advice. Check anything that matters.
6. Your content
You own your audio, transcripts and widget output. You give us a licence to store and process them, and to send them to the third-party services listed in the Privacy Policy, only as needed to run the service for you.
7. Credits
- Credits are prepaid usage. They have no cash value and cannot be transferred or sold.
- Credits expire 12 months after the day they are purchased or granted, except where the law requires otherwise. The expiry is shown on your Credits page. [Subject to legal review; some jurisdictions restrict expiry of purchased credits.]
- If a session runs past your balance, your balance goes negative. That debt is repaid from the next credits you buy or are given.
- We may change prices and pack sizes for future purchases. Credits you already own keep their value.
8. Payments
Payments are processed by Stripe. We never see or store your full card number. Prices are shown before you pay. You are responsible for any taxes that apply to you.
9. Refunds
See the Refund Policy.
10. Suspension and termination
You can stop using Thoughtwake at any time. We may suspend or end access if you break these terms, put the service or other people at risk, or if we have to by law.
11. Third-party services
Thoughtwake relies on other companies for speech recognition, AI, payments, hosting and email. Their availability and behaviour are outside our control. The Privacy Policy lists them.
12. Disclaimers and limitation of liability
Thoughtwake is provided "as is" and "as available", without promises that it will be uninterrupted, error-free or accurate. To the fullest extent the law allows, we are not liable for indirect or consequential losses. [Liability cap: to be set after legal review, e.g. fees paid in the 12 months before the claim.] Nothing in these terms limits rights that the law does not allow us to limit.
13. Changes to these terms
We may update these terms. We will change the "Last updated" date and, for material changes, tell signed-in users. Using Thoughtwake after a change means you accept it.
14. Governing law
These terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-law rules. [Venue and dispute-resolution wording to be set after legal review.]
